TERMS OF USE

1. ACCEPTANCE OF TERMS

These Terms of Use (‘Terms’) constitute a legally binding agreement between you (‘User’, ‘you’, or ‘your’) and Aggra Technologies Private Limited (CIN: U74999MH2017PTC296367), operating the Moneytor platform at www.moneytor.in (‘Platform’, ‘we’, ‘us’, or ‘our’).

By accessing, registering on, or using the Platform in any manner, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately discontinue use of the Platform.

These Terms apply to all users of the Platform, including institutional lender clients, collection agencies, NBFCs, banks, fintech lenders, and their authorised representatives.

2. ABOUT THE PLATFORM

Moneytor is an AI-driven Non-Performing Loan (NPL) / Non-Performing Asset (NPA) collections operating system and marketplace. The Platform provides the following services to institutional clients:

B2B NPA Management: AI-powered collections management system for banks, NBFCs, fintech lenders, and collection agencies, accessible at moneytor.in.

Automated Loan Restructuring and multi-level decisioning tools for NPA recovery.

API-based integration to receive and process defaulter data feeds from institutional lender clients.

Multi-channel engagement capabilities including WhatsApp, SMS, RCS/RBM, Email, and Voice/IVR.

Agent workflow management, campaign orchestration, and compliance audit tools.

The Platform is operated by Aggra Technologies Private Limited, a company incorporated under the Companies Act, 2013.

3. ELIGIBILITY

• Access to and use of the Platform is restricted to:

Companies, institutions, and organisations registered under applicable Indian law.

Individuals who are at least 18 years of age and are duly authorised representatives of a registered entity.

Entities that have executed a valid service agreement with Aggra Technologies Private Limited for the use of Moneytor services.

By using the Platform, you represent and warrant that you meet all eligibility requirements above. Moneytor reserves the right to suspend or terminate access for any user who does not meet these requirements.

4. REGISTRATION AND ACCOUNT SECURITY

• To access certain features of the Platform, you must register and create an account. In doing so, you agree to:

Provide accurate, current, and complete information during registration, including your name, phone number, email address, PAN, Aadhaar (where required), and bank details.

Maintain and promptly update your account information to keep it accurate and complete.

Maintain the confidentiality of your login credentials and not share them with any unauthorised person.

Immediately notify Moneytor at contact@moneytor.in of any unauthorised use of your account or security breach.

Accept full responsibility for all activities that occur under your account.

Moneytor reserves the right to suspend or terminate accounts in cases of suspected fraud, misrepresentation, or violation of these Terms.

5. PERMITTED USE

You agree to use the Platform solely for lawful business purposes consistent with these Terms and applicable Indian law. Permitted uses include:

Uploading and managing NPA/NPL account data pursuant to your service agreement with Moneytor.

Using the collections management tools, rule engine, campaign features, and reporting dashboards for authorised NPA recovery activities.

Accessing borrower data that has been lawfully shared with Moneytor by the lender client.

Generating and downloading reports for internal business and compliance purposes.

6. PROHIBITED USE

• You shall not, directly or indirectly:

Use the Platform for any purpose that violates applicable Indian law, including the Information Technology Act, 2000, the Indian Contract Act, 1872, RBI guidelines, TRAI regulations, or any other applicable statute.

Upload, transmit, or store false, inaccurate, or misleading borrower data on the Platform.

Engage in harassment, abusive, coercive, or unlawful communication with borrowers or third parties through the Platform.

Attempt to gain unauthorised access to any part of the Platform, its servers, databases, or connected systems.

Reverse engineer, decompile, disassemble, or attempt to derive the source code of any component of the Platform.

Introduce any virus, malware, ransomware, or other harmful code into the Platform.

Reproduce, distribute, sublicense, sell, or commercially exploit any part of the Platform without prior written authorisation from Moneytor.

Use the Platform to collect or harvest personal data for purposes other than those specified in your service agreement.

Circumvent any security, access control, or authentication mechanism of the Platform.

7. INTELLECTUAL PROPERTY

All intellectual property rights in the Platform, including but not limited to the software, algorithms, AI models, rule engines, dashboards, content, branding, trademarks, logos, and documentation, are the exclusive property of Aggra Technologies Private Limited or its licensors.

Nothing in these Terms shall be construed as granting any licence or right to use Moneytor’s intellectual property other than the limited, non-exclusive, non-transferable right to access and use the Platform in accordance with these Terms and your service agreement.

The ‘Moneytor’ name, logo, and associated marks are registered or unregistered trademarks of Aggra Technologies Private Limited. Unauthorised use is strictly prohibited.

8. DATA OWNERSHIP AND PROCESSING

As between Moneytor and the lender client, all borrower and loan data uploaded to or processed through the Platform remains the property of the lender client. Moneytor processes such data solely as a data processor under the instructions of the lender client and in accordance with applicable law.

Moneytor may use anonymised or aggregated data derived from Platform operations for the purposes of improving its AI models, analytics, and service quality. Such anonymised data shall not identify any individual borrower or client.

You are solely responsible for ensuring that all data you provide to or process through the Platform has been lawfully collected and that you have all necessary consents and authorisations to process such data.

9. COMMUNICATION SERVICES

The Platform enables multi-channel communication with borrowers, including via SMS, RCS/RBM (through Gupshup), Email, WhatsApp, and Voice/IVR. By using these communication features, you agree to:

Ensure that all outbound communications comply with applicable TRAI DLT regulations, including proper template registration and sender ID usage.

Obtain necessary consents from borrowers prior to initiating communications, where required by law.

Not use the communication features to send unsolicited, harassing, abusive, or fraudulent messages.

Comply with all applicable regulations including the TRAI Telecom Commercial Communications Customer Preference Regulations (TCCCPR).

Moneytor is not liable for the content of communications sent by lender clients or their agents through the Platform. The lender client is solely responsible for compliance with all messaging regulations.

10. FEES AND PAYMENT

Access to and use of the Platform is subject to the fees and payment terms set out in your service agreement with Aggra Technologies Private Limited. All fees are exclusive of applicable taxes including Goods and Services Tax (GST), which shall be charged additionally as per applicable rates.

Moneytor reserves the right to suspend access to the Platform in the event of non-payment of dues.

11. DISCLAIMER OF WARRANTIES

THE PLATFORM IS PROVIDED ON AN ‘AS IS’ AND ‘AS AVAILABLE’ BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

Moneytor does not warrant that the Platform will be free from defects, interruptions, security breaches, or errors. The AI-driven decisioning and recovery tools are provided as decision-support systems and do not constitute legal, financial, or professional advice.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable Indian law, Aggra Technologies Private Limited, its directors, officers, employees, and agents shall not be liable for:

Any indirect, incidental, consequential, special, or punitive damages arising from use of the Platform.

Loss of revenue, profit, business, data, or goodwill.

Unauthorised access to or alteration of your data by third parties.

Actions of third-party service providers including Google Analytics and Gupshup.

In no event shall Moneytor’s aggregate liability to any user exceed the fees paid by such user to Moneytor in the three (3) months immediately preceding the event giving rise to the claim.

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Aggra Technologies Private Limited, its directors, officers, employees, agents, and service providers from and against any claims, liabilities, damages, losses, penalties, and expenses (including reasonable legal fees) arising from:

• Your use or misuse of the Platform.

Your violation of these Terms or applicable law.

Any data you provide to or process through the Platform.

Communications sent by you or your agents through the Platform.

Your violation of any third-party rights.

14. CONFIDENTIALITY

Both parties acknowledge that in the course of using the Platform, they may have access to confidential information belonging to the other party. Each party agrees to:

Maintain the confidentiality of the other party’s information.

Not disclose such information to any third party without prior written consent.

Use confidential information only for the purposes contemplated under these Terms and the service agreement.

The obligations of confidentiality shall survive termination of these Terms.

15. TERM AND TERMINATION

These Terms shall remain in force for the duration of your access to and use of the Platform. Moneytor may terminate or suspend your access to the Platform at any time, with or without notice, for:

• Violation of these Terms.
• Non-payment of fees.

Suspected fraudulent, abusive, or unlawful activity.

Termination of your service agreement with Moneytor.

Upon termination, all rights granted to you under these Terms shall immediately cease. Provisions relating to intellectual property, limitation of liability, indemnification, confidentiality, and governing law shall survive termination.

16. THIRD-PARTY SERVICES

The Platform integrates with third-party services including Google Analytics and Gupshup for communications. Moneytor is not responsible for the availability, accuracy, or content of third-party services. Use of third-party services is subject to the respective third party’s terms and privacy policies.

17. FORCE MAJEURE

Moneytor shall not be liable for any failure or delay in performance of its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, government actions, internet or network outages, power failures, or cyber-attacks.

18. AMENDMENTS

Moneytor reserves the right to modify or update these Terms at any time. Changes will be effective upon posting to the Platform with an updated effective date. Continued use of the Platform following any amendments constitutes acceptance of the revised Terms. For material changes, Moneytor will endeavour to provide advance notice.

19. SEVERABILITY

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.

20. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy and any applicable service agreement executed between you and Aggra Technologies Private Limited, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior agreements, representations, and understandings.

21. GOVERNING LAW AND JURISDICTION

These Terms are governed by and construed in accordance with the laws of the Republic of India, including the Information Technology Act, 2000, the Indian Contract Act, 1872, and other applicable statutes.

Any disputes arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, such disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Mumbai, Maharashtra.

Subject to the arbitration clause above, the courts of Mumbai, Maharashtra shall have exclusive jurisdiction over any disputes not subject to arbitration.
